INTRODUCTION

This is a legal agreement between you and PHD Computer Consultants Ltd. (PHDCC), a
limited company registered in England, United Kingdom.

The features provided by Conference-CD are listed on the
Conference-CD web site :
http://www.phdcc.com/conference-cd/

You may purchase Conference-CD licenses either direct from PHDCC or through
one of our outlets, as listed on the Conference-CD Web site.
COPYRIGHT

The intellectual property, software, documentation, and images for Conference-CD
are Copyright (c) 1997-2010 PHD Computer Consultants Ltd.

This license describes the Evaluation, Standard, Professional Subscription and
Consultant Subscription license terms.
OTHER NECESSARY SOFTWARE

Certain functionality of the Conference-CD software requires other industry standard
software to be installed on the development computer and the computer of the
end user. These requirements are detailed on the web site.

In particular, the software package Microsoft Office 2000 (or later), including the
PowerPoint package, needs to be installed on the development computer used to process
the conference documents.
EVALUATION KIT and LICENSE

Downloading or installing the Evaluation Kit starts your 30 day evaluation period
and implies that you accept the conditions of this license.

The Evaluation license gives you the right to try out the Conference-CD
Evaluation Kit at no charge for 30 days on one computer.

There are limits to the number of files that can be processed by the Evaluation
Kit. Details of these limits can be found on the Web Site.

If you do not subsequently purchase a full license, you must delete all
copies of the Evaluation Kit software, documentation, and any generated output
from your computers and destroy any CDs or other media produced.

The Conference-CD Evaluation Kit is to be used for evaluation purposes only.
You are permitted to distribute the Evaluation Kit in its entirety without change,
but you are not permitted to incorporate it into any other product.
CONFERENCE-CD DEVELOPMENT KIT

The Conference-CD Development Kit is the same software as the Evaluation Kit.
Entering a purchased license code enables the relevant functionality of the Kit.

The Development Kit includes the Conference-CD-Wizard program and the product
documentation.

A Standard, Professional Subscription or Consultant Subscription License permits
you to use the Conference-CD Development Kit on one computer.

One backup copy of the Development Kit is permitted to be held on a fixed medium
such as a CD.

The Conference-CD-Wizard program is used to generate an image directory that can
either be burnt to CD or DVD, or loaded to the Web.

PHDCC makes no representation that the image loaded to the web is suitable for
viewing via a modem connection. In particular, the search engine database can be
sizeable and incur an extended download time. A server-based search engine technology
may be made available at a future date.
STANDARD LICENSE

A Standard License permits the use of the Conference-CD system to process
the documentation for any number of conferences and generate an image directory
that can either be burnt to CD or DVD, or loaded to the Web.

A Standard License does not permit the custom modification of any part of the image
generated by the Conference-CD system and, indeed, if the image is modified, certain
elements of the generated image will not function.

Images generated under a Standard License carry PHDCC publicity messages that may not be
removed by custom modification of the image. Such publicity messages can be removed and
other customisations effected by purchasing additional plug-in software elements that
will be made available in the future. PHDCC publicity messages may also be removed by
buying a Professional Subscription or Consultant Subscription License.

A Standard License may be used without time limit and entitles you to support and minor
upgrades during the year after purchase.
PROFESSIONAL SUBSCRIPTION LICENSE

A Professional Subscription License permits the use of the Conference-CD system to process
the documentation for any number of conferences during one year.

The Professional Subscription license lets you use one brand on all CDs created -
please email the required brand text to support@phdcc.com and we will send you a brand
file by return.

A Professional Subscription License is for the use of a single Content Owner. If you wish
to produce CDs for many Content Owners, then you must buy a Consultant Subscription
License. The "Content Owner" is the overall source of the information being presented at
a given conference.

A Professional Subscription License includes the branding of the generated image with a
single brand name. This brand name may not be changed and will be displayed to the user
of any CDs produced.

A Professional Subscription License permits the custom modification of the generated
image (other than modification of the chosen brand name). All plug-in features available
to Standard License holders at additional cost are included at no extra charge with
a Professional Subscription License.

Purchasing a Professional Subscription License entitles you to support and all upgrades
during the year after purchase.
CONSULTANT SUBSCRIPTION LICENSE

A Consultant Subscription License permits the use of the Conference-CD system to process
the documentation for any number of conferences during one year.

A Consultant Subscription License permits the branding of the generated image with any
brand name, or no brand name.

A Consultant Subscription License permits the generation of images on behalf of many
Content Owners. The "Content Owner" is the overall source of the information being
presented at a given conference.

Purchasing a Consultant Subscription License entitles you to support and all upgrades
during the year after purchase.
RECORD KEEPING AND AUDIT

Each CD produced containing the Conference-CD runtime carries an encrypted
license identifying you or your company as the registered license holder.
You must ensure that you purchase an appropriate license for the Conference-CDs
you intend to produce.

PHDCC has the right, no more than once during any calendar year, to have an
independent accountant inspect the relevant records on seven business
days notice and during normal business hours to verify that the correct
licenses are held. Any breach of license terms will be subject to litigation.
BACKUP

You may have a single working copy of the Conference-CD development kit
on each licensed computer and keep a single copy on a backup medium.
UPGRADES AND SUPPORT

You may obtain upgrades from the Conference-CD web site as directed in the
documentation. PHDCC will not necessarily inform you of all upgrades.

PHDCC will make a reasonable attempt to answer any relevant queries from
customers with a Standard, Professional Subscription or Consultant Subscription
License during the year after purchase. If your supplier provides support then
please contact them first.

PHDCC does not agree to fix any apparent defects or limitations in the software.
However, if you notify PHDCC of the problem or have positive suggestions, then
PHDCC may change the software accordingly in the next release. Title to all
new software will remain with PHDCC.

PHDCC assumes no responsibility for any limitations to the functionality provided
by the software or any medium containing the software due to circumstances beyond
our control - including any future upgrades or changes to browsers, to Microsoft
Office products or the Microsoft Windows operating system.
PURCHASING LICENSES

PHDCC supplies the development kit in electronic form only.
You do not receive a physical copy of the software.

For purchases direct from PHDCC, any License issued is invalid until the agreed
payment has been received in full by PHDCC.

You may not assign or resell your Conference-CD License or otherwise make
Conference-CD available to others without the consent of PHDCC.

You can have a full refund if you have a legitimate problem with the
software within 30 days of purchase provided you confirm that you
have destroyed all copies of the License code.

Any other requests for refunds must be made with 30 days, may be subject to an
administration fee, and will be considered at our discretion.
REDISTRIBUTABLE FILES

You must place the Conference-CD redistributable files on your CDs in
their entirety as directed in the documentation.

You may redistribute the current Conference-CD evaluation version, provided it
is distributed in its entirety.
TERMINATION

You may terminate this license provided you delete all copies of Conference-CD
from your computers, software products and CDs.

PHDCC may cancel this license upon 30 days prior written notice if you are
in breach of any material obligations hereunder and the breach is not
remedied within the notice period.
DATA PROTECTION

PHDCC maintains client data in a secure private database in accordance with the
Data Protection Act and may use these details to contact you from time to time
with information about our products. You will always be given the option to be
removed from our mailings.
GENERAL

All Conference-CD licenses are non-exclusive.

You must not re-use, decompile or otherwise mis-use the software.

To the best of PHDCC's knowledge, the software is Year 2000 compliant.

The generation of HTML files from PowerPoint format makes use of functionality
built into PowerPoint. PHDCC takes no responsibility for any limitations in this
functionality.

This text represents the entire agreement. In the event that any terms
of this license are deemed invalid, all other terms will remain in force.

Unless agreed otherwise, this agreement is governed by English U.K. law.
NO WARRANTIES

To the maximum extent permitted by applicable law, PHDCC expressly disclaims
any warranty for this software. This software and its documentation are
provided "as is" without warranty of any kind, either express or implied,
including, without limitation, the implied warranties or merchantability
or fitness for a particular purpose. The entire risk arising out of use
or performance of this software remains with you.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES

To the maximum extent permitted by applicable law, in no event shall PHDCC
or its suppliers be liable for any damages whatsoever (including, without
limitation, damages for loss of business profit, loss of business
information, business interruption, or any other pecuniary loss) arising
out of the use or inability to use this PHDCC product.

If this license is not acceptable to you or is not legally enforceable then
PHDCC reserves the right to declare it void and return any fee paid.
